Welcome to the Chinese Expert Overseas Innovation Association ("CEOIA," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, services, programs, and any related content or materials provided by CEOIA (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Services following any changes constitutes acceptance of the modified Terms.
You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services in any way that violates any applicable federal, state, local, or international law or regulation, infringes upon the rights of others, or could damage, disable, overburden, or impair our servers or networks. When you create an account with us, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old to create an account, or have parental or guardian consent if you are between 13 and 18 years old. We reserve the right to refuse service, terminate accounts, or remove or edit content at our sole discretion.
The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by CEOIA, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Services without our prior written consent. Any unauthorized use of the materials appearing on our Services may violate copyright, trademark, and other applicable laws and could result in criminal or civil penalties.
Our Services may provide you with opportunities to post, submit, or transmit content, including but not limited to comments, feedback, suggestions, and other materials ("User Contributions"). You retain ownership of your User Contributions, but by posting them, you grant CEOIA a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media. You represent and warrant that you own or have the necessary rights to your User Contributions and that they do not violate any third-party rights or applicable laws. You agree not to post User Contributions that are defamatory, obscene, abusive, invasive of privacy, threatening, hateful, or otherwise objectionable, contain viruses or malicious code, infringe intellectual property rights, or violate any law or regulation. We reserve the right, but are not obligated, to monitor, edit, or remove any User Contributions that violate these Terms or that we deem inappropriate.
CEOIA is a nonprofit organization, and donations made through our Services are generally tax-deductible to the extent permitted by law. All donations are final and non-refundable unless required by law or in cases of clear error. We process financial transactions through secure third-party payment processors. By making a donation or payment, you agree to provide accurate payment information and authorize us or our payment processor to charge the specified amount. You are responsible for all fees and charges incurred through your account, including any applicable taxes. We reserve the right to refuse or cancel any transaction for any reason, including suspected fraudulent activity. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. CEOIA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TO THE FULLEST EXTENT PERMITTED BY LAW, CEOIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless CEOIA, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Services, your User Contributions, or your violation of any rights of another party. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted by a single arbitrator, and the arbitrator's decision shall be final and binding. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
These Terms constitute the entire agreement between you and CEOIA regarding the use of the Services and supersede all prior agreements and understandings, whether written or oral. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the other provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. These Terms do not create any agency, partnership, joint venture, or employment relationship between you and CEOIA.
